Platform agreement
Platform Terms and End-User License Agreement
These terms supplement the signed service agreement required before a customer receives platform access.
1Parties and scope
These terms govern access to the hosted operations platform supplied by TrueFix Advisory LLC ("TrueFix," "we," or "us"), including the Cockpit, Foreman, connected-system integrations, and enabled automation features (the "Platform"). They apply to the business receiving the Platform (the "Customer") and its authorized users.
An individual accepting these terms for a Customer must have authority to bind that Customer. An individual user must be authorized by the Customer to access the Platform. Publishing these terms alone does not record a Customer's acceptance; acceptance must be obtained through an agreed contracting or enrollment process.
The Customer must enter into a signed service agreement with TrueFix before receiving Platform access. These terms supplement that agreement; they do not create a standalone service subscription. An order form, statement of work, or data-processing agreement may provide further terms. If provisions conflict, a signed data-processing agreement controls its data-protection subject matter, and the signed service agreement controls the services and commercial terms it covers.
2Permission to use the Platform
For the agreed service term, TrueFix grants the Customer a limited, nonexclusive, nontransferable right for authorized users to access the enabled Platform features for the Customer's internal business purposes. This is a right to use a hosted service, not a sale or transfer of the Platform or its source code.
Features, integrations, deployment arrangements, support commitments, and fees are those agreed with the Customer. A feature described in product materials is not included unless it is enabled or included in the applicable service agreement.
3Accounts and access
The Customer designates its account owner and is responsible for authorizing users, reviewing their access, and promptly removing access that is no longer appropriate. Users must use their own authorized identities and must not share sign-in credentials or impersonate another person. Suspected compromise must be reported promptly to TrueFix.
Where the Platform uses shared connected accounts, its answers and available information may reflect everything those accounts are permitted to access, rather than the permissions an individual user would have when signing directly into the source system. In that configuration, the Customer must give Platform access only to people entitled to see that information and complete the applicable data-access acknowledgement. An acknowledgement does not grant access rights the Customer does not otherwise hold.
4Connected services, including QuickBooks Online
The Customer may connect supported third-party services, including QuickBooks Online, using the connection process provided. The person authorizing a connection must have authority to permit the requested access for the relevant business and account.
The Customer instructs TrueFix to access and process connected-service information as needed to provide the agreed features, subject to the permissions granted and applicable approval controls. A connection permission is not blanket approval of every business action. Actions requiring approval remain subject to that approval process.
Third-party services remain governed by their providers' terms. The Customer is responsible for its subscriptions and authority to use them. TrueFix does not control third-party availability, API changes, or access restrictions. Intuit does not provide or endorse the TrueFix Platform merely because it connects to QuickBooks Online.
The Customer may revoke a connection through the third-party provider's available controls or request assistance from TrueFix. Revocation stops future authorized access through that connection once it takes effect; it does not automatically reverse completed transactions or erase records already lawfully retained.
5AI assistance and approvals
The Platform may use AI to summarize information, answer questions, and propose actions. Outputs can be incomplete or incorrect. Users must review information and proposed actions in context before relying on them for business decisions. The Platform is not a substitute for professional accounting, tax, legal, or other regulated advice.
Where an enabled workflow requires human approval, an authorized person must review the specific proposed action before approving it. Approval records must identify the authenticated person who approved the action and preserve its association with the approved action. Users must not approve on another person's behalf or bypass approval controls.
Customers remain responsible for the business instructions and approvals they provide. This responsibility does not excuse TrueFix from its contractual obligations or responsibility for defects in the services.
6Customer information and privacy
The Customer retains its rights in information it provides or authorizes the Platform to access. It grants TrueFix the rights needed to process that information to deliver, secure, support, and administer the agreed services and to comply with applicable law. These terms do not transfer ownership of Customer information to TrueFix.
Personal information handling is described in the applicable service and data-processing agreements and the published Privacy Policy at https://truefixadvisory.com/privacy. TrueFix may use service providers, including AI providers, as described in those documents. These terms do not independently authorize sale of Customer information, advertising use, or model training unrelated to providing the agreed services.
The Customer must have the necessary rights and permissions to provide information and connect systems. It must not submit categories of regulated or especially sensitive information beyond the agreed scope of the service.
7Acceptable use and ownership
Users must not use the Platform unlawfully; access another customer's information; bypass authentication, tenant boundaries, or approval controls; introduce malicious code; disrupt the service; or use the Platform to infringe another person's rights. Security testing requires prior written authorization defining its scope.
TrueFix and its licensors retain their rights in the Platform, software, and documentation. Ownership and permitted use of separately commissioned deliverables are governed by the applicable signed agreement. Restrictions in these terms do not override rights that applicable law does not permit the parties to restrict.
8Availability, support, and suspension
Availability commitments, support hours, response targets, and recovery objectives are those expressly agreed in writing. Outages, maintenance, or unavailable authorization checks may temporarily prevent access or actions. No uninterrupted-service promise is created by these terms.
TrueFix may restrict affected access when reasonably necessary to address a security incident, unauthorized use, legal requirement, or material breach. Restrictions should be proportionate to the issue. Where lawful and practicable, TrueFix will explain the restriction and the steps needed to restore service.
9Fees, term, and ending service
Fees, payment dates, renewals, cancellation rights, notice periods, and any refunds are governed by the signed service agreement or order form. These terms do not create a separate subscription or charge.
When access ends, the Customer must stop using the Platform. Export assistance, deletion timing, backup retention, and any retention required for audit, dispute handling, or law are governed by the applicable agreements and disclosed retention policy. Ending access does not automatically delete all retained records. The Customer may contact TrueFix to arrange an orderly offboarding process.
10Warranties and liability
The warranties, remedies, liability limits, exclusions, and indemnities in the signed service agreement apply to the Platform. These terms do not replace those negotiated provisions or limit liability that cannot lawfully be limited.
11Changes and notices
TrueFix will identify changes to these terms by a version and effective date and provide notice of material changes before they take effect, except where an earlier change is required by law or an urgent security need. Changes requiring agreement under the Customer's signed contract require that agreement. An update to these terms does not itself expand a connected account's permissions or approve an action.
